FOLIO DIGITAL INSURANCE PLATFORM – TERMS OF USE

 

1. APPLICATION OF TERMS

These Terms govern your access to and use of the Folio Digital Insurance Platform (the “Platform”), available via https://portal.folio.insure. By accessing or using the Platform:

 

  • you agree to these Terms; and

  • if you are accessing the Platform on behalf of an organisation or other legal entity, you represent and warrant that you are authorised to accept these Terms on its behalf, and that entity agrees to be bound by these Terms.

 

If you do not agree to these Terms, you must not access or use the Platform.

 

2. CHANGES TO TERMS

We may amend these Terms at any time by posting updated Terms on the Platform. Any changes take effect immediately unless stated otherwise. Your continued use of the Platform constitutes your acceptance of the revised Terms.

 

We may also change, suspend, or discontinue any part of the Platform without notice or liability.

3. DEFINITIONS

 

  • Folio, we, us, or our means FOLIO.INSURE LTD.

  • Platform means the Folio Digital Insurance Platform made available via https://portal.folio.insure/.

  • Loss includes loss of profits, savings, revenue, or data, and any indirect or consequential loss or damage.

  • Underlying Systems includes the technology infrastructure supporting the Platform.

  • User ID means a unique identifier allowing access to certain parts of the Platform.

  • You means the individual or entity using the Platform.

 

4. YOUR OBLIGATIONS

You agree to:

 

  • provide true, current, and complete information and keep it updated;

  • maintain the confidentiality of any User ID and notify us immediately of any unauthorised use;

  • not introduce malware or attempt to interfere with the Platform or Underlying Systems;

  • only access the Platform through supported interfaces (e.g. standard browsers), and not by automated means unless expressly permitted.

 

If you wish to link to our Platform, you must obtain prior written permission via support@folio.insure.

 

You are responsible for all activity undertaken via your User ID. You indemnify us for any Loss resulting from your breach of these Terms.

 

5. INTELLECTUAL PROPERTY

We and our licensors own all intellectual property rights in the Platform and related content. You must not use our content or technology except as permitted under these Terms or otherwise agreed in writing.

 

6. DISCLAIMERS

While we aim to ensure high availability and performance of the Platform, we do not guarantee uninterrupted or error-free access. To the extent permitted by law, we are not responsible for:

 

  • unavailability or slow performance of the Platform;

  • errors or omissions in any Platform content;

  • harm resulting from malicious software or third-party links;

  • the legality or appropriateness of Platform use in jurisdictions outside New Zealand.

 

The Platform is provided “as is” and “as available.” You are responsible for ensuring your use of the Platform complies with local laws.

 

7. LIABILITY

To the maximum extent permitted by law:

 

  • your use of the Platform is at your own risk; and

  • we are not liable or responsible to you or any other person for any Loss arising out of or in connection with these Terms, the Platform, or your access to or use of (or inability to access or use) the Platform. This exclusion applies regardless of whether our liability arises in contract, tort (including negligence), equity, breach of statutory duty, or otherwise.

 

Nothing in these Terms is intended to limit any rights you may have under the New Zealand Consumer Guarantees Act 1993 or any other consumer protection law that cannot be excluded. Where our liability cannot be excluded but can be limited, our total aggregate liability to you in connection with these Terms or the Platform (whether in contract, tort, or otherwise) is limited to the total licence fees paid by you to us in the 12-month period immediately preceding the event giving rise to the claim.

 

 

8. PRIVACY

Your personal information is handled in accordance with the New Zealand Privacy Act 2020. Information you provide may be used for:

 

  • communications and support;

  • Platform improvement;

  • marketing of related services (where permitted); and

  • research and analytics.

 

We may use cookies and similar technologies to improve your experience. Some information may be stored or processed offshore by trusted service providers.

9. SUSPENSION AND TERMINATION

We may suspend or terminate your access to the Platform without notice if you breach these Terms or for any other reasonable cause. On termination, your right to access the Platform ceases immediately.

 

10. GENERAL

 

  • These Terms are governed by New Zealand law, and any disputes must be resolved in the New Zealand courts.

  • Notices may be sent to your registered email or posted on the Platform.

  • If any part of these Terms is held to be invalid, the remainder will remain enforceable.

  • These Terms constitute the entire agreement between you and us relating to the Platform.

  • Any waiver must be in writing.
